Welcome to Sakha – Your Study Buddy.
- These Terms of Service explain how Sakha’s educational and tutoring services work and what students, parents/guardians, educators and Sakha can expect from one another.
- We have kept these Terms as clear and straightforward as possible while providing a framework for a safe, respectful and positive learning environment.
- By enrolling a student with Sakha, making a payment for Sakha’s services, attending or participating in a Sakha class, or otherwise using Sakha’s services, the Parent/Guardian acknowledges that these Terms have been made available to them and agrees to be bound by them.
- If you do not agree to these Terms, please do not enrol with or use Sakha’s services.
1. OUR COMMITMENT
At Sakha, our aim is to create a safe, supportive and effective learning environment for every student.
We will make reasonable efforts to:
- provide the services agreed at enrolment
- assign suitable educators based on the student’s academic requirements and availability
- communicate important changes in a timely manner
- maintain appropriate professional and safeguarding standards
- treat students, parents/guardians and educators with respect.
We recognise that every student is different. Our teaching approach, academic support, educator allocation, timetable and learning resources may therefore evolve based on the student’s needs, progress, availability and circumstances.
2. PURPOSE & SCOPE
These Terms govern the provision of educational and tutoring services by Sakha – Your Study Buddy (“Sakha”) to an enrolled student.
They apply to:
- Online Classes
- Centre-Based Individual Classes
- Centre-Based Group Classes
- Home Tuition
- any combination of these services
The specific programme, subjects, hours, timetable, educator arrangement and fees will be confirmed separately at enrolment.
3. ENROLMENT & ACCEPTANCE
- Enrolment must be initiated by a Parent/Guardian who is at least 18 years old and authorised to act on behalf of the student.
- By submitting an enrolment request, providing information for registration, making a payment, commencing or continuing to use Sakha’s services after these Terms have been made available, the Parent/Guardian acknowledges that they have had an opportunity to review these Terms and agrees to be bound by them.
- The Parent/Guardian confirms that they have the authority to act on behalf of the student and to provide information and any required consent relating to the student’s enrolment.
- The Parent/Guardian is responsible for ensuring that information provided to Sakha is accurate and remains up to date.
- The student’s enrolment, timetable, educator allocation, class placement and prepaid credits are personal to that student and may not be transferred to another person unless Sakha expressly agrees otherwise.
- Where the student turns 18 years of age during the course of enrolment, Sakha will, on notification, treat the student as having independent authority over their own enrolment decisions and personal data going forward, without prejudice to the Parent/Guardian’s continuing responsibility for fees and obligations already accrued.
4. PARENT/GUARDIAN RESPONSIBILITIES
To help create a smooth and effective learning experience, the Parent/Guardian agrees to:
- provide accurate and complete information
- keep contact and emergency information current
- ensure punctual attendance
- support the student’s academic participation
- provide required study materials and equipment
- make payments when due
- communicate through official Sakha channels
- disclose relevant safety, accessibility or medical information where necessary
- ensure appropriate student conduct
- comply with these Terms
- comply with the applicable Refund & Cancellation Policy
Parents/Guardians should promptly inform Sakha if any information relevant to the student’s enrolment changes, including contact details, home tuition address, authorised pickup arrangements or important safety information.
5. SERVICES & EDUCATOR ALLOCATION
- Sakha determines the appropriate service structure based on factors including academic requirements, subject, curriculum, availability, timetable, educator suitability, class composition, and reasonable operational considerations.
- Sakha will make reasonable efforts to provide a suitable educator. However, no particular educator is guaranteed unless expressly confirmed by Sakha in writing.
- Sakha may change or reassign an educator because of leave, illness, availability, performance, academic suitability, scheduling, safety, or other reasonable operational requirements.
- Sakha may also reasonably modify a timetable, batch composition, teaching format, learning methodology or supporting resources where operationally necessary.
- Where a material change affects an existing programme, Sakha will make reasonable efforts to communicate the change and, where practicable, provide a suitable alternative.
- A tutor change or reasonable operational change by itself does not create an automatic right to a refund or immediate withdrawal.
6. SERVICE CONTINUITY
Sakha aims to provide continuity of service but cannot guarantee that a particular educator, batch, timetable, programme or service format will remain available for the entire duration of an enrolment.
Circumstances may arise where:
- an educator becomes unavailable
- a batch no longer has sufficient participation
- a programme is changed or discontinued
- a centre becomes temporarily unavailable
- operational requirements change
- circumstances outside Sakha’s reasonable control affect service delivery
Where reasonably practicable, Sakha will try to provide an alternative arrangement, educator, timetable or format.
7. ACADEMIC EXPECTATIONS
- Sakha provides structured academic support and teaching.
- Academic outcomes depend on many factors, including student effort, attendance, punctuality, homework, participation, aptitude, learning pace, school curriculum, examination standards, and circumstances outside Sakha’s control.
- Sakha therefore does not guarantee a particular grade, percentage, rank, examination result, admission outcome or specific level of improvement.
- Any projected timeline, academic target or expected improvement should be understood as an indicative objective rather than a guarantee.
Academic Honesty
- Students are expected to maintain academic honesty in coursework, assignments and assessments.
- Plagiarism, unauthorised assistance from third parties, or inappropriate reliance on generative AI tools, automated problem-solving applications or other technology during assessments or assigned work is not permitted.
- Where appropriate, such conduct may result in disciplinary action, suspension or termination of services.
8. ONLINE CLASSES
Students attending online classes should join from an appropriate learning environment.
Where required by the programme:
- video should remain switched on
- students must have the required device
- stable internet connectivity is required
- study materials should be ready before class
- unrelated device use should be avoided
- unauthorised persons should not participate.
- Students and Parents/Guardians must not impersonate another person, use automated systems to participate in place of the student, or otherwise interfere with the integrity of an online class.
- For younger students, a Parent/Guardian should remain reasonably accessible where assistance may be required.
- Technical problems arising from the student’s equipment, internet connection or home environment will ordinarily not entitle the student to a refund where the educator’s time was reserved.
9. CENTRE CLASSES
Students attending a Sakha centre must:
- arrive punctually
- follow centre rules
- respect educators and fellow students
- remain within designated areas
- sign in/out where required
- avoid unauthorised recording
- keep mobile phones away during classes
- follow reasonable instructions from Sakha staff.
- Sakha may reasonably regulate access to its centres, including visitor access, waiting areas, photography, recording, pickup/drop-off procedures and access during classes.
- Parents/Guardians are responsible for timely drop-off and collection.
- Sakha’s supervision is limited to scheduled class hours and designated centre areas.
- Sakha is not responsible for a student’s travel to or from the centre or for the student before arrival or after scheduled class hours, except to the extent required by applicable law.
- Personal belongings remain the student’s responsibility.
- Damage caused deliberately or through negligent misconduct may be charged to the Parent/Guardian to the extent permitted by law.
10. HOME TUITION
Home tuition is subject to enhanced safety requirements.
A responsible adult aged 18 or above must be present in the home throughout every session.
The tutor must not be left alone in the home with the student.
The Parent/Guardian must provide:
- a safe study environment
- appropriate lighting and seating
- a suitable learning area
- reasonable privacy
- respectful household conduct
- any required access instructions
Where tuition occurs in a room, the door should remain open.
The Parent/Guardian is responsible for the conduct of family members, domestic staff, guests and other persons present.
A tutor may leave immediately if they reasonably believe that the environment is unsafe, threatening, inappropriate or materially uncomfortable.
Sakha may pause or discontinue home tuition in such circumstances.
11. HOME TUITION ADDRESS
Before the first home tuition session, the Parent/Guardian must provide:
- complete residential address
- landmark
- PIN code
- primary contact number
- alternate contact number
- access instructions where applicable
Any change of address should be communicated to the Sakha Coordinator at least 48 hours in advance.
Additional travel or logistics costs resulting from a change of location may apply and will be communicated before being charged.
12. ATTENDANCE & TIME DISCIPLINE
- Classes are conducted according to the confirmed timetable.
- If the student is late, the class will ordinarily end at the scheduled time and the missed portion will not be extended.
- Where a tutor is late, Sakha will make reasonable efforts to ensure the student receives the agreed session duration, subject to practical circumstances.
- Repeated lateness may be raised with the Parent/Guardian and may affect participation in group batches where it materially disrupts the learning environment.
13. MATERIALS & ACADEMIC RESOURCES
- Students are expected to have required textbooks, notebooks, stationery and other materials ready for each session.
- Sakha may provide notes, worksheets, assessments, revision resources, digital resources, and other academic materials.
- Unless expressly stated otherwise, Sakha-created materials remain Sakha’s intellectual property.
14. ACADEMIC PROGRESS & PARENT COMMUNICATION
- Sakha may provide periodic academic feedback through the Coordinator, progress reports, assessments, Parent–Teacher Meetings, written notes, or other appropriate channels.
- Parents wishing to discuss academic progress outside scheduled meetings should contact the Sakha Coordinator and arrange an appropriate time.
- Parents should not interrupt classes or approach educators directly for extended discussions while they are teaching.
15. FEES & PAYMENTS
- Fees are determined according to factors including subject, mode, individual/group format, number of hours/sessions, programme, billing period, and any other agreed service component.
- Fees are generally payable in advance.
- Once a timetable and service plan are confirmed, Sakha reserves educator time and operational capacity for the student. Accordingly, fees are not calculated solely on the number of sessions physically attended.
- No part-payment, instalment or split-payment arrangement is valid unless expressly approved in writing.
- Home tuition may include applicable travel/logistics charges.
- Additional subjects, sessions or hours beyond the agreed plan will be separately chargeable.
Session Validity
- Unless otherwise specified in writing, all prepaid session credits, class hours or monthly tuition allocations must be utilised within sixty (60) days from the date of billing.
- Sakha will make reasonable efforts to notify the Parent/Guardian at least seven (7) days before any unused session credit or class hour is due to lapse, through the official Sakha communication channel.
- Unused sessions or hours remaining after the applicable validity period will lapse automatically and will be non-transferable and non-refundable, subject to applicable law and the Refund & Cancellation Policy.
16. FEE REVISION
- Fees applicable to a confirmed academic period will ordinarily remain as agreed for that period.
- Sakha may revise fees for a future period by providing reasonable prior notice.
- Where a material change requires affirmative acceptance under applicable law, Sakha will obtain such acceptance.
17. PAYMENT DEFAULT
If fees are delayed or remain unpaid, Sakha may:
- issue reminders
- suspend sessions
- withhold future services
- discontinue the enrolment
- pursue lawful recovery of outstanding dues
Parents will ordinarily be notified before suspension where reasonably practicable.
Sessions suspended because of non-payment are not automatically compensated.
18. TRIALS
- Where offered, trial sessions are intended to help assess suitability.
- A trial does not guarantee admission, tutor allocation, batch placement, continued availability, or enrolment.
- Sakha may decline enrolment where a service is unsuitable, unavailable, outside its capacity or presents a reasonable safety or conduct concern.
19. CANCELLATION, RESCHEDULING & MISSED CLASSES
Student cancellations, rescheduling, planned absences and compensation classes are governed by the separate Sakha Refund & Cancellation Policy.
The Refund & Cancellation Policy forms part of these Terms.
20. HOLIDAYS & ACADEMY CALENDAR
- Sakha may publish an academic calendar containing declared holidays.
- Declared Sakha holidays are ordinarily incorporated into the overall fee structure and do not automatically result in a fee reduction.
- Where Sakha cancels a significant number of classes, reasonable compensation, rescheduling or an alternative arrangement may be provided as appropriate.
- Student-declared holidays remain subject to the Refund & Cancellation Policy.
21. PARENT, STUDENT & HOUSEHOLD CONDUCT
- We want Sakha to be a safe, respectful and positive environment for everyone.
- All interactions with Sakha personnel must remain respectful and professional.
- The following behaviour is prohibited: harassment, bullying, threats, intimidation, abusive language, discriminatory conduct, inappropriate touching, deliberate disruption, unauthorised recording, sharing offensive or inappropriate content, interference with teaching, and conduct that creates an unsafe environment.
- Serious misconduct may result in immediate protective action, including suspension or termination.
22. PROFESSIONAL BOUNDARIES
- Sakha educators are engaged for academic instruction and related professional duties.
- Parents and students should not ask educators to provide unrelated services, including childcare, babysitting, household errands, personal services, personal financial assistance, or other unrelated services.
- Educators are expected to maintain appropriate professional boundaries with students and Parents/Guardians.
23. PERSONAL COMMUNICATION & FINANCIAL DEALINGS
- For everyone’s protection, official Sakha matters should be handled through Sakha’s official communication channels.
- Parents and students should not use educators’ personal numbers or social-media accounts for official Sakha matters.
- Parents should not enter into private financial arrangements with educators, including loans, advances, unauthorised fees, financial favours, or other private monetary transactions.
- Payments for Sakha services must be made only through authorised Sakha channels.
- Any suspected misconduct should be reported to Sakha Management.
- Sakha will not ordinarily be responsible for unauthorised private transactions between a Parent/Guardian or student and an educator, subject to applicable law.
24. CHILD SAFETY & SAFEGUARDING
- Sakha is committed to maintaining a safe, respectful and appropriate educational environment.
- Any concern involving abuse, harassment, inappropriate touching, intimidation, threats, bullying, sexual misconduct, or other behaviour that may place a child or educator at risk must be reported promptly to Sakha Management.
- Where a concern involves conduct that may constitute an offence under the Protection of Children from Sexual Offences (POCSO) Act, 2012, Sakha is legally required under Section 19 of that Act to report the matter to the Special Juvenile Police Unit or local police, and will do so regardless of any request for confidentiality. Failure to report such conduct is itself a punishable offence under the POCSO Act, and Sakha personnel are bound by this obligation.
- Sakha may take immediate protective measures where reasonably necessary.
- Where required by law, Sakha may report incidents involving minors to the relevant authorities and cooperate with lawful investigations.
25. STUDENT SAFETY & EMERGENCY SITUATIONS
If a student becomes unwell, is involved in an accident or faces an urgent safety concern during a Sakha class or while under Sakha’s scheduled supervision, Sakha may take reasonable steps to protect the student’s immediate safety.
This may include:
- contacting the Parent/Guardian or emergency contact
- seeking appropriate emergency assistance
- contacting emergency services where reasonably necessary
- taking other reasonable steps appropriate to the circumstances.
Parents/Guardians are responsible for providing accurate and current emergency contact information.
Sakha does not provide medical treatment and is not responsible for circumstances outside its reasonable control.
26. RECORDING, PHOTOGRAPHY, MEDIA & TECHNOLOGY
- Students, Parents/Guardians and educators must not record, photograph, screenshot or distribute classes or identifiable participants without appropriate consent.
- Sakha may use recording or monitoring mechanisms for legitimate purposes such as quality assurance, educator training, safeguarding, security, compliance, and service improvement, subject to applicable law and the Sakha Privacy Policy.
- Identifiable photographs, videos, voices, testimonials or academic information of children will not be used for public marketing without appropriate parental consent.
- Students and Parents/Guardians must not upload Sakha’s confidential teaching materials, recordings or proprietary resources to public websites, file-sharing platforms, social-media platforms or third-party systems, including AI platforms, for redistribution, commercial use or other unauthorised purposes.
27. INTELLECTUAL PROPERTY
- All Sakha-created teaching materials, worksheets, assessments, lesson plans, notes, recordings and proprietary educational resources belong to Sakha or its licensors.
- Parents and students receive a limited, personal, non-transferable right to use such materials for the student’s own academic purposes.
- Materials must not be copied for commercial purposes, resold, publicly uploaded, distributed to unrelated students, used to provide competing services, uploaded to third-party platforms for unauthorised use, or commercially exploited, without prior written permission.
28. DIRECT ENGAGEMENT OF EDUCATORS
Parents and students must not knowingly bypass Sakha to privately engage, hire, pay or contract with an educator introduced through Sakha for substantially similar academic services, during the engagement and for a period of six (6) months after the engagement ends.
This provision exists to protect Sakha’s legitimate investment in educator recruitment, screening, training, and service management — not to penalise ordinary parents or restrict an educator’s livelihood.
This restriction does not apply where:
- the engagement with Sakha has formally ended and no fees are owed; and
- the private arrangement is initiated at least six (6) months after the student’s last Sakha session with that educator; or
- Sakha has expressly consented in writing to the direct engagement (which Sakha will not unreasonably withhold where it is offered a reasonable opportunity to match the arrangement or agree a transition arrangement).
If a Parent/Guardian directly engages an educator in breach of this clause within the restricted period, the Parent/Guardian agrees to reimburse Sakha for its actual, documented costs reasonably attributable to that educator’s recruitment, screening, training and onboarding, along with reasonable administrative costs directly caused by the breach. This amount will be calculated in good faith by Sakha based on its internal records, disclosed to the Parent/Guardian on request, and will not exceed the fees actually paid by the Parent/Guardian to Sakha for that educator’s services in the three (3) months preceding the breach.
Sakha will not pursue this clause where the private engagement arises more than six months after the student’s enrolment with Sakha has genuinely ended, or where the educator independently left Sakha’s roster and the family had no role in that departure.
29. PRIVACY
- Personal data is processed in accordance with the Sakha Privacy Policy.
- The Parent/Guardian is responsible for ensuring that information supplied about the student is accurate and that they have appropriate authority to provide required information and consent.
- As required under the Digital Personal Data Protection Act, 2023, Sakha will obtain verifiable consent from the Parent/Guardian before processing a student’s personal data. Sakha will not undertake tracking, behavioural monitoring, or targeted advertising directed at students who are children, and will process children’s personal data only for purposes reasonably necessary to provide the enrolled services.
30. COMMUNICATION
- All scheduling, fee, cancellation, complaint and operational requests should be routed through the Sakha Coordinator or official Sakha communication channel.
- Personal messages sent directly to an educator will not ordinarily constitute formal notice to Sakha.
Official Working Hours: Monday–Saturday, 11:00 AM–8:00 PM.
- Sundays are ordinarily non-working days unless otherwise communicated.
- Sakha will make reasonable efforts to respond to operational queries during official working hours. Response times may vary depending on the nature and urgency of the request.
- Sakha may maintain electronic records of relevant communications, schedules, payments, attendance, consent and service matters.
31. COMPLAINTS & GRIEVANCES
- We encourage parents and students to raise concerns with the Sakha Coordinator at the earliest opportunity so that we can try to resolve them promptly.
- Where a concern cannot be resolved at the Coordinator level, it may be escalated to Sakha Management through the official Sakha communication channel.
- Sakha will review complaints fairly and make reasonable efforts to respond within an appropriate timeframe, depending on the nature and complexity of the concern.
- Nothing in this section prevents a Parent/Guardian from exercising any statutory right or remedy available under applicable law.
32. SUSPENSION & TERMINATION
- Sakha may suspend or terminate services where reasonably necessary because of serious or repeated misconduct, safety concerns, harassment, persistent non-payment, material breach, misuse of Sakha materials, unauthorised direct engagement with educators, materially false information, or circumstances making continued service provision impracticable or unsafe.
- Where immediate action is not necessary, Sakha will ordinarily communicate the reason for the action.
- Refunds or credits following termination are governed by the applicable Refund & Cancellation Policy and applicable law.
33. FORCE MAJEURE
Sakha will not be responsible for delay or inability to provide services caused by circumstances beyond reasonable control, including natural disasters, severe weather, government restrictions, public emergencies, civil unrest, infrastructure failures, prolonged power or internet outages, or similar events.
Sakha will make reasonable efforts to provide an alternative, reschedule or otherwise mitigate the effect where practicable.
34. LIMITATION OF LIABILITY
- To the fullest extent permitted by applicable law, Sakha’s liability will be limited to direct loss reasonably attributable to Sakha’s failure to provide the contracted service.
- Sakha will not be liable for indirect, incidental, special or consequential losses where such exclusion is legally permissible.
- Sakha’s total aggregate financial liability arising out of or in connection with the services rendered shall not exceed the total amount of fees actually paid by the Parent/Guardian to Sakha in the three (3) months immediately preceding the event giving rise to the claim.
- This limitation does not apply to, and nothing in these Terms excludes or limits: (a) liability that cannot be excluded or limited under the Consumer Protection Act, 2019, including for unfair trade practices or deficiency in service as determined by a competent consumer forum; (b) claims arising from gross negligence or wilful misconduct by Sakha; or (c) liability for death or personal injury caused by Sakha’s negligence.
- Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
35. INDEMNIFICATION
To the extent permitted by law, the Parent/Guardian agrees to indemnify Sakha against claims or losses arising directly from:
- material breach of these Terms
- wilful misconduct by the Parent/Guardian or student
- unauthorised use of Sakha intellectual property
- knowingly false information supplied to Sakha
- unauthorised private engagement with Sakha educators.
This does not require the Parent/Guardian to indemnify Sakha for Sakha’s own non-excludable legal liability.
36. NOTICE OF WITHDRAWAL
- A minimum of 15 days’ written notice is required to discontinue services, withdraw the student, reduce subjects, or reduce enrolled hours, unless otherwise agreed in writing.
- Fees applicable to the notice period remain payable because Sakha continues to reserve the relevant timetable, educator time and service capacity.
- Detailed cancellation and refund rules are contained in the separate Refund & Cancellation Policy.
37. CHANGES TO THESE TERMS
- Sakha may update these Terms from time to time to reflect changes to its services, operations, technology or applicable legal requirements.
- The latest version will be published on the Sakha website together with the applicable Last Updated date.
- For material changes that affect an existing enrolment, Sakha will provide reasonable notice where appropriate and obtain any additional acceptance where required by applicable law.
- Where continued use of Sakha’s services after an updated version becomes effective constitutes acceptance under applicable law, such continued use will constitute acceptance of the updated Terms.
38. ORDER OF PRECEDENCE
Where documents relating to the student’s enrolment conflict, the following order will generally apply:
- specific written amendment accepted by both parties
- specific enrolment/service confirmation
- these Student & Parent/Guardian Terms of Service
- applicable Sakha policies
- general website information.
39. ENTIRE AGREEMENT
These Terms, together with the applicable enrolment/service confirmation and policies incorporated into them, constitute the framework governing the student’s use of Sakha’s services, subject to the order of precedence above.
No informal statement, conversation or communication will amend these Terms unless the change is made or accepted through an authorised written or digital process.
40. SEVERABILITY
If any provision is found invalid or unenforceable, it will be modified or interpreted to the minimum extent necessary where legally permissible.
The remaining provisions will continue in effect.
41. SURVIVAL
Provisions concerning fees, intellectual property, privacy, direct engagement restrictions, indemnification, liability, dispute resolution and other provisions intended by their nature to survive shall continue after termination to the extent legally permissible.
42. GOVERNING LAW & DISPUTE RESOLUTION
- These Terms are governed by the laws of India.
- The parties will first attempt to resolve disputes through Sakha’s internal grievance process and good-faith discussion.
- Subject to applicable law, disputes shall be dealt with by the competent courts having jurisdiction in Bengaluru, Karnataka, where legally available.
- Nothing in this clause restricts a consumer’s statutory right under the Consumer Protection Act, 2019 to approach the District, State or National Consumer Disputes Redressal Commission having jurisdiction over their own place of residence or work, regardless of the Bengaluru jurisdiction clause above.
- Nothing in these Terms prevents a Parent/Guardian from exercising non-waivable statutory rights or remedies.
43. ACCEPTANCE OF THESE TERMS
These Terms are published on the Sakha website and are available for review by students and Parents/Guardians.
By enrolling a student with Sakha, making a payment for Sakha’s services, attending or participating in a Sakha class, or otherwise using Sakha’s services after these Terms have been made available, the Parent/Guardian acknowledges that they have had an opportunity to review these Terms and agrees to be bound by the
